Affiliate Program Terms

These Affiliate Program Terms ("Terms") govern your participation as an affiliate, referrer, or partner ("Affiliate", "you") in the TradeRR.ai partner program ("Program") operated by TradeRR.ai ("TradeRR", "we", "us"). By accepting the invitation to the Program or by using your assigned promotion code, you agree to be bound by these Terms in full.

These Terms supplement, and do not replace, our Terms of Use and Privacy Policy, which continue to apply to you in your separate capacity as a user of the TradeRR.ai service.

Each Affiliate is assigned a unique promotion code in Stripe (e.g. JOSH20). When a customer enters that code at checkout on TradeRR.ai, the resulting sale is attributed to the Affiliate who owns the code via our partner-tracking provider, Tolt (tolt.io). You may also be issued a tracked referral link containing a unique ?ref= parameter; clicks on that link drop a 60-day cookie that attributes any subsequent qualifying purchase to you.

We rely on Stripe's promotion-code data and Tolt's tracking to determine attribution. If both a tracked link click and a promotion code are present on a single transaction and they belong to different Affiliates, Tolt's default attribution rules apply. We will not retro-attribute commissions on the basis of disputes that cannot be verified in either system.

Customers who use your assigned promotion code receive a discount on TradeRR.ai products, as configured by us in Stripe. The standard customer discount at the time of writing is 20% off, applied to the first three (3) billing cycles of any monthly subscription (Pro or Elite), and as a one-time 20% reduction on Lifetime Elite purchases. We may vary discount percentages, durations, or eligibility per Affiliate at our discretion.

Commission is paid on the net amount the customer actually pays TradeRR.ai through Stripe — i.e. after the customer discount and before TradeRR.ai's payment-processing costs. The standard commission rates are:

• TradeRR Pro ($19/month): 30% of each successful monthly payment, for the lifetime of the subscription, while it remains active.
• TradeRR Elite ($29/month): 30% of each successful monthly payment, for the lifetime of the subscription, while it remains active.
• TradeRR Lifetime Elite ($199 one-time): 30% of the single payment, paid once.
• Commission is calculated on the gross transaction amount actually received, including any applied promotion code, and excluding any taxes, refunds, chargebacks, or transaction fees levied by Stripe or other processors.

Commission rates may be revised by us at any time on a forward-looking basis. Any change will be reflected in your Tolt dashboard and will apply to all new sales made after the change is communicated. Existing accrued commissions are not affected by a rate change.

Each commission becomes "Pending" in your Tolt dashboard immediately on a successful sale and enters a 30-day approval hold. During this period:

• If the customer obtains a refund, the related commission is permanently reversed (clawed back) and removed from your balance.
• If the customer initiates a chargeback or payment dispute, the related commission is held until the dispute is resolved. If the dispute resolves against TradeRR, the commission is permanently reversed.
• If a subscription is cancelled within the first 30 days, the commission for that cancelled billing cycle is reversed.
• After the 30-day hold expires and no reversal events have occurred, the commission moves to "Approved" and becomes eligible for payout.

We reserve the right to extend the hold period or manually reverse a commission where we reasonably believe fraud, abuse, or breach of these Terms has occurred.

Payouts are made through Tolt, on the following schedule and conditions:

• Payout frequency: monthly, in arrears, on a NET-30 basis (i.e. approved commissions accrued in a given month are paid by the 30th day of the following month).
• Minimum payout threshold: $50 USD. Approved commissions below the threshold roll forward to the next payout cycle until the threshold is met.
• Payout methods: PayPal or Wise, at your election. You must configure a valid payout method in your Tolt dashboard. Currency conversion fees, withdrawal fees, and applicable charges levied by PayPal, Wise, or your bank are your responsibility.
• You are responsible for keeping your payout details, email address, and tax information accurate. We are not liable for payouts sent to an outdated or incorrect destination.
• Failed payouts (e.g. due to invalid PayPal/Wise details, account closure, or compliance holds on the payee side) may be re-attempted at our discretion. Repeated failures may result in your Affiliate account being paused.

You may promote TradeRR.ai through your audience using methods including, but not limited to:

• Organic posts on YouTube, X (Twitter), Instagram, TikTok, Reddit, Discord, or similar platforms.
• Email newsletters to opted-in subscribers.
• Your own website, blog, or podcast.
• Verbal mentions in livestreams, podcasts, or videos that include your promotion code.

You may not, directly or indirectly, engage in any of the following. Violation will result in immediate suspension and reversal of related commissions:

• Paid search advertising on the term "TradeRR", "TradeRR.ai", or any close variant (including misspellings) on Google Ads, Bing Ads, Meta Ads, X Ads, or any other paid platform. We reserve the right to block commissions from any traffic identified as originating from paid ad platforms via Tolt's safeguards.
• Bidding on TradeRR's brand terms, domain, or product names in any paid advertising context.
• Operating fake or impersonating accounts that present themselves as TradeRR.ai, its founder, or its employees.
• Self-referrals: using your own promotion code, or a closely related code, to obtain a discount on your own account or any account you control. Tolt is configured to block same-email self-referrals; circumvention is grounds for termination.
• Posting your code on coupon, voucher, or cashback sites (e.g. Honey, RetailMeNot, Rakuten) unless we have explicitly approved that placement in writing.
• Spamming via unsolicited email, SMS, DMs to users who have not opted in, or low-quality automated comment posting.
• Misrepresenting the TradeRR.ai product, its features, prices, or risk disclosures. Trading futures involves substantial risk; do not imply guaranteed returns or "risk-free" results.
• Targeting customers below the age of 18 or in jurisdictions where futures trading platforms or our service is restricted.
• Generating clicks, conversions, or promotion-code usages by artificial, fraudulent, or automated means.

When promoting TradeRR.ai, you must clearly and conspicuously disclose your material connection with us as required by the U.S. Federal Trade Commission (FTC), the UK Competition and Markets Authority (CMA), the EU Unfair Commercial Practices Directive, and any equivalent laws in your jurisdiction.

A simple, compliant disclosure is sufficient — for example: "I receive a commission if you sign up to TradeRR with my code." or "#ad #affiliate". Disclosures must appear in or alongside the content where the code is shown, not buried in a separate page or video description footer.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the TradeRR.ai name and logo solely for the purpose of promoting TradeRR.ai during your participation in the Program. This licence terminates automatically when your Affiliate status ends. You may not:

• Modify, distort, or recolour the TradeRR.ai logo or name.
• Imply endorsement of your own products, trades, services, or strategies by TradeRR.ai.
• Register domain names, social handles, or trademarks that include "TradeRR", "TradeRR.ai", or confusingly similar variants.
• Use TradeRR's screenshots, marketing copy, or product imagery in a way that misrepresents the product or its results.

You are solely responsible for reporting and paying any income tax, value-added tax, sales tax, withholding tax, or other tax applicable to your commissions in your jurisdiction. We do not withhold tax on your behalf unless required by law. Commissions are paid gross to your nominated payout method.

If a tax authority requires us to collect tax information (e.g. a W-9 or W-8BEN for U.S. tax purposes), you agree to provide it promptly. Failure to provide required tax information may result in your payouts being paused.

These Terms apply for as long as you remain an active Affiliate in the Program. Either party may terminate this arrangement at any time, for any reason, with or without notice. We may pause or terminate your Affiliate account immediately if we reasonably believe you have breached these Terms or engaged in fraud, abuse, or activity that damages TradeRR's brand or reputation.

On termination:

• Your promotion code will be deactivated. Any subsequent uses of that code will not generate commission.
• Any commissions already in "Approved" status at the time of termination remain payable on the next scheduled payout cycle, subject to the minimum payout threshold.
• Any commissions in "Pending" status are forfeited if termination is for breach of these Terms; otherwise they remain subject to the normal 30-day hold and reversal rules.
• You must immediately stop using TradeRR's name, logo, and any marketing assets we have provided.

Aggregate sales statistics, customer lists, customer identities, internal commission structures negotiated with other Affiliates, and any non-public information you receive in the course of your participation in the Program are confidential. You agree not to disclose this information except as required by law.

The Program is provided "as is". We do not guarantee any minimum level of conversions, sales, or commission. Your earnings depend on your audience, your effort, and external market conditions.

To the maximum extent permitted by law, our aggregate liability to you under or in connection with these Terms is limited to the total commissions paid to you by us in the twelve (12) months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or lost opportunity.

We may revise these Terms from time to time. The current version, with the latest "Last updated" date, will always be published at traderr.ai/affiliate-terms. Material changes will be communicated to active Affiliates via the email address associated with their Tolt account. Your continued participation in the Program after a revision constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the Dubai International Financial Centre (DIFC) and, where applicable, the laws of the United Arab Emirates. You and TradeRR.ai submit to the exclusive jurisdiction of the courts of the DIFC in respect of any dispute arising under or in connection with these Terms, save that we retain the right to seek injunctive relief in any jurisdiction where you conduct activity that breaches these Terms.
